Overview of Our Services
To ensure the quality of the Pareto experience we have set up our terms of service for our mutual benefit. If you violate these rules it will mean you have broken the terms of service and this may result in termination of your membership.
Any agreement or attempted agreement between client and Pareto team member, in connection with a service contract, requiring that payment be made outside of Pareto shall constitute a material breach of this agreement and be subject to cancellation without refund.
Ownership and Confidentiality of Work Product
If Pareto creates anything original for you, such as research projects, reports, templates, spreadsheets, forms, etc. ("Work Product"), Pareto grants to you a non-exclusive, royalty-free, perpetual, irrevocable, non-transferable license to use the Work Product for your own personal and commercial purposes.
To avoid doubt, you retain sole ownership of your confidential information and your intellectual property and, to the extent your confidential information or intellectual property is incorporated into the Work Product, it will be removed prior to any use or disclosure by Pareto to a third party.
As used in these Terms of Service, your confidential information means non-public information that you provide to Pareto that you reasonably expect Pareto to keep secret, including your personal information (i.e., your name, your social security number, your credit card information, and similar information), but does not include information that
Becomes generally available to the public other than an unauthorized disclosure by Pareto
Was or becomes available to Pareto on a non-confidential basis prior to your disclosure of the information to Pareto;
Is independently developed by Pareto without using your confidential information; or
Information we are required to disclose by a warrant, subpoena or other request in an investigation or legal proceeding or where disclosure is necessary to protect Pareto's rights or property, or the rights or property of our other clients.
As used in these Terms of Service, your intellectual property means patents, trademarks, and copyrights owned by you and any insights, knowledge, and ideas provided by you in connection with the creation of the Work Product.
Guarantee and Warranty
There is no warranty on any of the information, tasks, or projects Pareto completes for you. What we will promise is that we will do our best to provide the most accurate, most effective information available and we know our team does this better than anyone else. However, if we give you information or results that are wrong, although we will be deeply sorry, you can not hold us liable for it (or the results) legally or morally.
If you leave us, we will miss you dearly but we will not hold you back. You may discontinue the service at any time, though we are unable to refund subscriptions or worked time. You may cancel subscriptions any time by logging into your account or contacting us by emailing email@example.com. Your cancellation will take effect at the end of the current paid term.
Termination of Service
We reserve the right to terminate the service of a Pareto client at any time — for any reason. Should this occur, we will give you a prorated refund at the standard monthly rate for any period for which you have already paid. That means that rarely and under great duress, we may end our relationship with a client for any number of reasons including but not limited to the following:
If the client is constantly requesting tasks outside the scope of their service plan and we are unable to find a solution by scaling back the requests. and If the client is abusive to a Pareto team member or any other Pareto community member.
I acknowledge that Pareto has made substantial investments in recruiting, training and matching skilled Pareto Partners and Associates with each of its members including myself and that Pareto has a legitimate interest in earning a reasonable return on those investments. I also acknowledge that Pareto has agreements with Pareto Associates and Partners that protect this interest by requiring that Pareto Associates and Partners obtain Pareto's prior written consent before accepting any direct engagement (whether as an employee, consultant, contractor or otherwise) with the Pareto client to whom they were assigned. Accordingly, to the fullest extent permitted under applicable law, I agree that during my membership and for a period of 2 (2) years immediately following the termination of my relationship with Pareto for any reason, whether voluntary or involuntary, with or without cause, I shall not directly or indirectly solicit any Pareto Associates or Partners who are assigned to me at that time or who were assigned to me within the six months preceding termination of my relationship with Pareto to leave his or her employment with Pareto and to work for me in any engagement directly or indirectly. Should any solicitation by me become a substantial factor resulting in a Pareto Partner or Associate leaving Pareto and accepting an engagement with me directly or indirectly without Pareto's consent, I agree to pay Pareto as liquidated damages reasonably calculated to compensate Pareto for its lost investments and not as a penalty of any kind, a one-time fee equivalent to one year of my average monthly Pareto usage in effect at the most recent date that the Pareto Partner or Associate had been assigned to me by Pareto.
Intellectual Property Rights
Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.
By using the Site, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update such registration information as necessary.
- You are not a minor in the jurisdiction in which you reside.
- You will not access the Site through automated or non-human means, whether through a bot, script or otherwise.
- You will not use the Site for any illegal or unauthorized purpose; and
- Your use of the Site will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
Fees and Payment
We accept the following forms of payment:

You may be required to purchase or pay a fee to access some of our services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill you through an online billing account for purchases made via the Site. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in U.S. dollars.
You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation.
We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Site.
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.
U.S. Government Rights
We reserve the right, but not the obligation, to:
- In our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof.
- in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and
- Otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

We respect the intellectual property rights of others. You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:
- Your Contributions.
- Use of the Site.
- Your violation of the rights of a third party, including but not limited to intellectual property rights; or
- Any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site.
